These Terms of Service (the “Terms”) govern every order for a Stickman Explainer Video placed through claydesk.com/explainers (the “Service”). By paying for a package you agree to them. If you order on behalf of a company, you confirm you are authorised to bind it, and “you” means that company. The general ClayDesk website terms also apply; for the Service, these Terms prevail where the two differ.
- You pay, send a brief, approve a script, and receive your video within 24 hours of approval, with the number of revision rounds your package includes.
- Full refund any time before you approve the script. After approval, revisions replace refunds.
- You own the finished video on payment and may use it anywhere, including ads. We keep our tools, templates and characters.
- The script says only what your brief says. You are responsible for the claims you approve and the material you upload.
- Launch-price orders include permission for us to show the video as a sample and quote your testimonial, which you can withdraw later.

1. Definitions
- Package: Starter, Social or Launch pack, as described on the order page at the time of purchase.
- Brief: the information and files you provide through our brief form or by email, describing what the video must explain.
- Script: the narration and on-screen text we write from your Brief and send to you for approval.
- Deliverables: the finished video files and any extras in your Package (poster image, captions file, cut-downs, carousel).
- Approval: your written confirmation by email or through our order page that the Script may be produced.
- Business day: Monday to Friday, excluding United States federal holidays.
2. The Service and packages
We produce a 60 to 90 second animated explainer video in our stickman style, with a synthetic voice-over, captions, your logo and brand colours. What each Package includes (formats, extras, revision rounds) is stated on the order page when you buy and is part of the contract. We may change Packages and prices for future orders at any time; your order is governed by what was shown when you paid.
3. Ordering and payment
- Orders are placed by paying through Stripe from the order page. Prices are in US dollars. Stripe may offer to display and settle the amount in your local currency; the conversion and any fee are Stripe’s, and the price we charge remains the USD price.
- Payment is due in full in advance. Your contract with us is formed when Stripe confirms payment and you are redirected to the brief page or receive our confirmation email.
- Prices exclude any taxes you may owe in your country. Where we are required to collect tax, Stripe will show it at checkout.
- Promotion codes apply only where shown at checkout and cannot be combined unless stated.
- If a payment is later reversed or disputed without good reason, we may suspend work and recover our costs.
4. Launch offer
Launch prices for our first customers are offered in return for two things: (a) a short written testimonial once your video is delivered, which we may quote with your name and company; and (b) permission to show the finished video on our website and social channels as a sample of our work. You may withdraw either permission at any time by emailing us; we will remove the sample and quote within 10 business days. Withdrawal does not change the price you paid. The launch offer may be withdrawn at any time for new orders.
5. The brief
- We can only start once we have a complete Brief. If we have not received one within 24 hours of payment we will remind you; we are not responsible for delay caused by a late or incomplete Brief.
- If a Brief is not received within 60 days of payment, we may cancel the order and refund the payment, less any payment processing fees we cannot recover.
- You may upload up to 10 attachments of 25 MB each. Only upload material you have the right to use (section 9).
- If you prefer, you may send us a link to your website instead and we will draft the Brief for your confirmation.
6. Script approval
- We send the Script by email within hours of receiving a complete Brief (at most one business day).
- Nothing is animated or voiced before your Approval. You may request changes to the Script as often as needed before Approval; Script changes do not count as revision rounds.
- The Script contains only facts, figures, names and claims that come from your Brief. We do not add our own claims. By approving the Script you confirm that its content is accurate, lawful and yours to make, and you take responsibility for it.
- If you do not respond to a Script for 14 days, we will remind you. If we hear nothing within 60 days of the first Script, section 14 applies.
7. Delivery and turnaround
- We deliver the Deliverables within 24 hours of Approval, by email download link. “Within 24 hours” means 24 clock hours from the time we receive your Approval, except that Approvals received on a weekend or United States federal holiday are treated as received at 9:00 am Eastern time on the next business day.
- Download links are valid for at least 30 days; we keep a copy for 12 months (see the Privacy Policy) so we can re-send it on request.
- Delivery is complete when the download link is sent. Please check the Deliverables promptly and tell us about any problem within 14 days.
- If we cannot meet the 24-hour window we will tell you as soon as we know and give a new time. If the delay is our fault and exceeds 3 business days, you may cancel for a full refund.
8. Revisions and extra work
- Each Package includes a number of revision rounds after delivery. A round is one consolidated list of changes. Revisions bring the video in line with the approved Script and your Brief (timing, visuals, pronunciation, colours, typos, captions).
- Changes to the Script after Approval, new scenes, a different voice, new formats or a changed brand are new work. We will quote them before starting; typical quotes are a fraction of the Package price.
- Revisions are usually returned the same business day and within 2 business days at most.
- Revision rounds not used within 30 days of delivery expire.
9. Your content and responsibilities
You warrant that, for everything you provide to us (Brief text, logo, images, documents, videos, music, names, testimonials, and the claims in the approved Script):
- you own it or have the right to let us use it to make your video and to let you use the result commercially;
- it does not infringe anyone’s copyright, trademark, privacy, publicity or other rights, and does not contain confidential information of a third party you may not share;
- it is accurate and not misleading, and complies with advertising, consumer protection, financial, health and other laws that apply to your business and your audience;
- it is not unlawful, defamatory, hateful, sexually explicit, or promoting violence, illegal products, or discrimination.
We may decline or stop an order that we reasonably believe breaches these rules, with a refund of any part not yet performed. We are not obliged to check your content for legal compliance, and we do not provide legal, regulatory or marketing-compliance advice.
10. Our content, AI and style
- Our videos are made with ClayDesk’s animation system, scene templates and characters, and with artificial-intelligence tools: a language model drafts the Script from your Brief (reviewed by us and approved by you), and a neural text-to-speech service generates the voice-over. You acknowledge that the voice is synthetic and not a human actor unless you order a human voice as an extra.
- Our stickman style, characters, templates and methods are not exclusive to you; other customers’ videos share them. We do not copy your competitors’ videos for you and will not use a Brief to make a video for another customer.
- We may improve our templates and tools using what we learn from making videos in general, but we do not use your Brief, files or video to train any third-party AI model.
11. Ownership and licences
- Deliverables. On receipt of full payment, you own the Deliverables and may reproduce, modify, distribute and publicly display them for any lawful purpose, worldwide, without time limit, including in paid advertising and on any platform. You may not resell the Deliverables as a standalone product or claim to have produced them for a third party.
- Our materials. ClayDesk retains all rights in its animation system, templates, characters, illustrations, scene designs, code, workflows and know-how (the “ClayDesk Materials”), including as they appear inside your video. You receive a perpetual, worldwide, non-exclusive licence to use the ClayDesk Materials as embedded in your Deliverables. You may not extract them to make other videos or to compete with the Service.
- Your materials. You keep ownership of everything you provide. You grant us a licence to use it to make the Deliverables, to keep records as described in the Privacy Policy, and, for launch-price orders, to show the finished video as a sample (section 4).
- Moral rights. To the extent permitted by law, we waive any moral rights in the Deliverables so that you can edit and use them freely.
12. Music, fonts and third-party material
- Fonts and voices we use are licensed for commercial use in video. Background music is either produced by us or royalty-free and licensed for commercial use, including advertising, unless you supply your own music, in which case you are responsible for its licence.
- If a third-party platform (for example an app store or social network) has its own requirements for videos, meeting them is your responsibility; we will make reasonable adjustments within your revision rounds.
13. TikTok upload feature
- The “Post to TikTok” page lets you connect a TikTok account and have the finished video uploaded to that account’s drafts. You must own or be authorised to manage the account you connect.
- We upload as a draft only. You review, edit and publish the video yourself in TikTok, and you are responsible for the caption, hashtags, disclosures (for example paid promotion) and compliance with TikTok’s terms and community guidelines.
- The feature depends on TikTok’s platform and may be unavailable or changed by TikTok at any time. We are not responsible for TikTok’s acts or omissions.
- You can disconnect at any time on our page or in TikTok’s settings. Details of the data involved are in the Privacy Policy.
14. Refunds and cancellation
| When | What happens |
|---|---|
| Before you approve the Script | Full refund on request, no questions asked. Refunded to the original payment method within 10 business days. |
| After Script Approval, before delivery | No refund as a right, because production has started; you may still request changes under section 8. If we cannot deliver at all, full refund. |
| After delivery | Your remedy is the revision rounds in your Package. If a Deliverable has a defect we cannot fix within those rounds (for example a corrupted file or a departure from the approved Script), we re-deliver or refund in proportion. |
| No Brief or no response from you | See sections 5 and 6: after 60 days we may close the order and refund the payment less unrecoverable processing fees. |
| Cancellation by us | If we cancel for a reason other than your breach, you receive a full refund. |
Consumers in the EU, UK and similar jurisdictions. The Service is intended for businesses. If you nonetheless order as a consumer, you have a statutory right to withdraw within 14 days. By asking us to begin work (sending the Brief) within that period you consent to performance starting; once the video is delivered the right of withdrawal is lost. Our refund policy above is in any case at least as generous as that right.
15. Warranties and disclaimers
- We warrant that the Deliverables will be produced with reasonable skill and care, match the approved Script, and, to our knowledge, not infringe any third party’s intellectual property in the ClayDesk Materials.
- Except as stated in these Terms, the Service and Deliverables are provided “as is”. We do not warrant that a video will achieve any particular result, sales, ranking, engagement, or approval by any platform or app store, or that a synthetic voice will be accepted by every audience or platform.
- Nothing in these Terms excludes rights that cannot be excluded by law.
16. Limitation of liability
- To the fullest extent permitted by law, our total liability for all claims arising from an order, whether in contract, tort (including negligence), statute or otherwise, is limited to the amount you paid for that order.
- We are not liable for indirect, consequential, special or punitive damages, or for loss of profit, revenue, business, goodwill or data, even if advised of the possibility.
- These limits do not apply to death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law.
17. Indemnity
You will defend and indemnify ClayDesk against third-party claims, losses and reasonable legal costs arising from the content you provided or approved (including claims that it infringes rights or is misleading), from your use of the Deliverables, or from your breach of section 9 or 13. We will notify you promptly of any claim and cooperate with you at your expense.
18. Confidentiality and privacy
- We treat your Brief and files as confidential and use them only to make your video and support you, except for the sample permission in section 4 and as required by law.
- Our handling of personal data is described in the Privacy Policy, which forms part of these Terms.
19. Delays and events beyond our control
Neither party is liable for failure or delay caused by events beyond its reasonable control, including outages of third-party providers (payment, hosting, AI or voice services, TikTok), internet failures, natural events, strikes or government action. Turnaround times are extended by the duration of such events; if an event lasts more than 14 days either party may cancel the affected order with a refund of any part not yet performed.
20. Termination and suspension
We may suspend or cancel an order if you breach these Terms, provide unlawful content, abuse our staff, or if a payment is reversed. Where the breach is yours, we may retain payment for work already done. Sections 9 to 12 and 15 to 22 survive completion or cancellation of an order.
21. Governing law and disputes
- These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict-of-law rules. If you are a consumer in a jurisdiction whose mandatory laws grant you additional protections, those protections still apply to you.
- Before starting any formal proceedings, each party agrees to contact the other at the addresses in section 23 and to try in good faith to resolve the dispute within 30 days.
- Subject to that, the state and federal courts located in Virginia have exclusive jurisdiction, except that either party may seek injunctive relief to protect intellectual property in any competent court, and consumers may bring claims in their home courts where the law so provides.
22. General
- These Terms, the Package description at the time of purchase, and the Privacy Policy form the entire agreement for each order and replace any earlier discussions.
- We may update these Terms for future orders by posting a new version with a new effective date. Orders already paid are governed by the version in force at payment.
- If any provision is unenforceable, the rest remains in force. Failure to enforce a provision is not a waiver.
- You may not assign an order without our consent; we may assign to a successor of our business with notice to you.
- Notices to you are sent to the email address on your order; notices to us go to the address in section 23.
- Nothing in these Terms creates a partnership, agency or employment relationship.
